Jason focuses on venture capital, financing rounds, M&A, private offerings, lending transactions, fund formation, real estate joint ventures, corporate structures, operating and shareholder agreements, and general commercial transactions and disputes.
Jason regularly advises technology companies, startups, venture capital funds and angel groups on their structure, financing rounds, complex capitalization tables, stock plans, employment arrangements and general technology and commercial arrangements. He advises on M&A transactions and exits, and assists funds with their formation and private offerings. Jason also regularly advises restaurant groups, and CPG and agricultural companies.
Prior to joining NEXT LEGAL, Jason was a corporate attorney with O’Melveny & Myers, LLP (AmLaw 100) in New York where he focused his practice on private equity and M&A. In Miami, he was a corporate attorney with Greenberg Traurig, P.A. (AmLaw 100), where he focused on venture capital, M&A, corporate finance and general company advisement. Jason is a CPA with “Big Four” accounting experience, as a former Senior Tax Consultant at Deloitte & Touche.
