We advise founders, emerging companies, and venture capital funds from formation through exit. Our work includes entity selection and formation, Delaware and foreign holding-company structures, U.S. “flips,” founder arrangements, and equity incentive plans. We handle SAFEs, convertible notes, priced seed through later-stage rounds, investor rights, and governance. We represent both companies and investors, and regularly close U.S. and cross-border financings connecting Miami, New York, Latin America, and Europe, with a practical focus on getting capital in and keeping the cap table clean.
