This Terms of Use and Privacy and Cookie Policy has two parts. Part I (Terms of Use) sets out the terms and conditions that govern your access to and use of the website www.nextlegal.us and the content and features made available on it (the “Website”). Part II (Privacy and Cookie Policy) describes how Next Legal PLLC (“Next Legal,” “we,” “our,” or “us”) collects, uses, and discloses information about you in connection with the Website. Throughout this document, “you” refers to the individual or entity visiting or using the Website. By accessing or using the Website, you agree to Part I and acknowledge that you have read Part II. If you do not agree to Part I, do not use the Website.

This document applies only to the Website. It does not govern any legal services provided by Next Legal. Next Legal provides legal services only under a written engagement letter signed by Next Legal and the client, and that engagement letter, together with our professional obligations, governs our relationship with the client and our handling of client information. If this document conflicts with an engagement letter, the engagement letter controls.

No Legal Advice; No Attorney-Client Relationship

The materials on the Website are provided for general informational purposes only. They do not constitute legal advice or a legal opinion on any specific facts or circumstances, may not reflect the most recent legal developments, and may not apply in your jurisdiction. Your use of any information on the Website is at your own risk, and you should not act or refrain from acting on the basis of any content on the Website without seeking advice from a lawyer licensed in the relevant jurisdiction. Your use of the Website, including reading its content, sending us an email, or submitting a contact form, does not create an attorney-client relationship with Next Legal or any of its attorneys and does not provide a reasonable basis for a belief that such a relationship exists. Information you send before then may not be treated as confidential or privileged, and sending it does not prevent Next Legal from representing another party in the same or a related matter.

The Website may be considered attorney advertising under the rules of certain jurisdictions. Any description of prior results on the Website does not guarantee a similar outcome, and every matter depends on its own facts. Intellectual Property; Permitted Use

The Website and all content on it, including text, articles, graphics, logos, and design, are owned by or licensed to Next Legal and are protected by copyright, trademark, and other intellectual property laws. Next Legal grants you a limited, revocable, non-exclusive, non-transferable license to view and print content from the Website for your personal, noncommercial, informational use, provided that you keep all copyright and other proprietary notices intact. Except as permitted by that license, you agree not to copy, reproduce, republish, transmit, modify, create derivative works from, or distribute any of the information contained on the Website, absent the prior written approval of Next Legal.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEXT LEGAL AND ITS MEMBERS, ATTORNEYS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE WEBSITE OR ANY CONTENT ON IT, OR YOUR RELIANCE ON ANY CONTENT ON IT, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF NEXT LEGAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Indemnification

You agree to defend, indemnify, and hold harmless Next Legal and its members, attorneys, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your breach of these Terms of Use or your misuse of the Website.

Governing Law; Venue; Jury Waiver

These Terms of Use, and any dispute arising out of or relating to them or to the Website, are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any such dispute must be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts and waive any objection based on venue or inconvenient forum. To the fullest extent permitted by law, any such dispute will be resolved on an individual basis, and you waive any right to bring or participate in a class, collective, or representative action. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY SUCH DISPUTE. Nothing in this section limits Next Legal’s right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or the security of the Website. If you are a consumer residing outside the United States, this section does not deprive you of the protection of any mandatory provisions of the law of your country of residence. This section does not apply to any dispute between Next Legal and a client relating to legal services, which is governed by the applicable engagement letter.

Changes to These Terms of Use

We may revise these Terms of Use at any time by posting the revised version on the Website and updating the “Last Updated” date above. Revised terms apply to your use of the Website after they are posted, and your continued use of the Website after that means you accept the revised terms.

Miscellaneous

If any provision of these Terms of Use is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to enforce it later. These Terms of Use, together with Part II, are the entire agreement between you and Next Legal regarding the Website and supersede any prior agreement regarding the Website; they do not supersede or modify any engagement letter. This document may be made available in languages other than English for convenience only. If there is any conflict between the English version and a translation, the English version controls.
