Nicolás focuses his practice on venture capital, M&A, and corporate transactions, advising startups, growing companies, investors, and family-owned businesses on cross-border matters across Latin America and the United States.
He advises startups and their investors on company formation, SAFEs and priced financing rounds, cap table matters, equity incentive plans, shareholder arrangements, cross-border restructurings, including flips of Latin American companies into Delaware holding structures, and investor-side due diligence.
Nicolás provides day-to-day corporate counsel to companies across multiple industries, including contract negotiation, corporate governance, regulatory compliance, and strategic decision-making. He advises clients on M&A transactions throughout the full transaction lifecycle, from due diligence and negotiations to closing and post-closing integration. He also has experience advising high-net-worth individuals, families, and family-owned businesses on tax planning and asset structuring, with particular attention to cross-border considerations between Latin America and the United States.
He holds an LL.M. from Duke University School of Law, with a certificate in Business and Corporate Law, and a Diploma in Venture Capital from the Business School of Universidad Adolfo Ibáñez (Chile). Nicolás is admitted to practice law in Chile and is fluent in Spanish and English.
