We advise companies and investors on general corporate matters and private fundraising, acting as outside counsel when clients need senior attention without big-firm process. Work includes formation and governance, commercial contracts, restructurings, and exempt offerings under Regulation D and Regulation S. We structure and negotiate equity and debt financings, private placements, and shareholder arrangements, and help businesses raise and deploy capital in U.S. and international markets. The goal is clear documents, a workable capital structure, and closings that match the commercial deal.

We advise our clients on all types of fundraising activities and private placements in accordance with Regulation D or Regulation S. We also help clients with a variety of corporate and transactional matters, including private equity investments, private credit transactions, and project financings, and in many cases, with a cross-border component. For many clients, we are their “external in-house counsel,” and help with day-to-day legal needs in the most efficient and cost-effective manner, including employment matters, pre-litigation advice, and contractual matters.
