Mergers and Acquisitions

NEXT represents acquirers and sellers in the sale of small and mid-market businesses.  We also advise investment funds on secondary market transactions for technology companies.   Being at the crossroads of the United States, Latin America and Europe, many of our deals have an international component.  We help our clients navigate through complex cross-border issues and bridge the culture gap between international parties.

We advise on:

“We understand how important these transactions are for our clients and give the level of attention and efficiency such deals require. Our “big law” experience is very helpful since we are used to working on highly complex, time-sensitive multi-million dollar deals.”

– Pieter A. Weyts, Esq. Partner

Investment Funds and Family Offices

We advise our clients on the formation of venture capital funds, private equity funds, hedge funds, real estate partnerships, and other special purpose pooled investment vehicles.  We assist investment funds and family offices with private placements and transactional matters.  We also advise our clients on the structuring of onshore and offshore feeder funds and the structuring of cross-border investments.

We advise on:

Business and Finance

We advise borrowers and lenders on real estate, corporate and project financing matters and act as counsel to numerous small and mid-size businesses in a wide variety of business and transactional matters.

We advise our clients on a variety of financing matters, including private equity investments, private credit transactions, offshore offerings and project financings.  We represent both borrowers and lenders.  Most of our deals have a cross-border component.  In addition, we act as the “external” in-house counsel of many of our clients and handle day-to-day corporate and employment matters, pre-litigation advice, and advice on contractual matters.

We advise on:

“We often serve as an external part of the team, advising on all legal aspects of the business. Our clients often need capital, and such advice is given often on the best way to structure a lending deal with outside lenders or current investors.”

– Jason Stark, Esq. Partner

Restaurants and Food & Beverage

NEXT represents restaurant owners and food & beverage companies in connection with their operations, including leases, financing rounds, lending, vendor contracts (and disputes) employment, trademarks, distribution and co-packer arrangements.

We advise on:

“We work with some of Miami’s most well-known restauranteurs and restaurant and food product startups for years and have developed a very unique set of skills targeted to this group of clients. Whether it is getting a client the best lease terms, or the next year finding a few to get that client out of that same lease, negotiating with investors to close a financing round, negotiating partner terms, or finding a resolution to a conflict without going to court, we are there to facilitate our client’s success.”
